Customer Agreement

This agreement is between Cruz Ventures LLC, doing business as Pipeline ("Pipeline", "we", "us"), and the business that buys a Pipeline package ("you"). You accept it when you tick the agreement box at checkout. That acceptance is your electronic signature and binds the business you buy for.

1. Your order

Your order is the package you choose at checkout: a service level (Outreach Only or Fully Managed GTM), a number of senders and a monthly price. A written quote that we send you and you accept is also an order. This agreement and your order together form the whole contract between us.

2. The services

2.1 Every package

  • LinkedIn sender accounts. Each account belongs to a real person who authorizes us in writing to send from it.
  • Connection of each sender account to our sending platform, and sending at the monthly target pace in section 3.
  • Access for your team to a unified inbox, where every reply appears as it arrives.
  • Monitoring of volume and account status, and reporting.

2.2 Outreach Only

You supply the target list and the approved message copy. Your team reads, answers and qualifies replies in the unified inbox.

2.3 Fully Managed GTM

We also define the target market with your approval, source the lead data, build the prospect list, write the first message and follow-ups for your approval, send follow-ups, answer the agreed qualification questions and book meetings on your calendar.

2.4 Setup call

Before any sending starts, we hold a setup call with you. On that call we confirm your offer, your audience, the number of segments and sequences, copy approvals and the start date. We confirm these points to you by email. Sending starts only after the setup call.

2.5 Not included

Sales calls, proposals, negotiation and closing stay with you at both service levels. Paid ads, email campaigns, websites, content production and custom integrations are not part of any package.

3. Message volume

Each sender has a service target of 800 messages a month. This is a target and not a guarantee. A message counts when LinkedIn records a successful send. First messages and planned follow-ups both count. Failed attempts, drafts and duplicates do not count. The full counting rules are on the pricing page.

We stay inside LinkedIn's daily limits and do not go past them to make up volume. If a shortfall in a month is caused by us, we give you a service credit on your next invoice in proportion to the messages not sent. Service credits are your only remedy for a shortfall.

4. Sender accounts and LinkedIn

  • Each sender account belongs to a real person. We do not create profiles or invent identities.
  • You get access to the unified inbox. You do not get LinkedIn logins, and you must not try to log in to, take over or contact a sender account holder to work around us.
  • Profile wording that describes a relationship with your business needs the approval of the account holder and of you.
  • You understand that LinkedIn's User Agreement limits automation and the use of an account by anyone other than its holder, and that LinkedIn can restrict any sender account at any time. When that happens, we pause the account, replace it where we can, and section 3 applies. We are not responsible for actions that LinkedIn takes.

5. Your responsibilities

  • Give us true and complete information about your business and your offer.
  • Make sure your offer, your copy and your use of the services follow the law, including privacy, marketing and consumer protection laws.
  • For lists you supply, make sure you have the right to use the data to contact those people.
  • Approve copy and answer our questions without undue delay.
  • Do not use the services for false or misleading claims, harassment, illegal products or services, or contacting children.

We may decline or pause an offer, a list or copy that we believe breaks this section or puts sender accounts at risk.

6. Fees, billing and taxes

  • You pay the monthly price of your package in advance through Stripe, with the payment method you give at checkout.
  • Billing renews each month until you cancel. There is no minimum term.
  • Prices do not include taxes. You pay any sales or similar taxes that apply.
  • We may change prices with at least 30 days' notice by email. A change takes effect at your next billing date after the notice period.
  • If a payment fails, we may pause the services until it succeeds.

7. Changing your package

You can change your package in the billing portal or by email. An upgrade takes effect at once, and we charge the prorated difference for the rest of the month. New senders start after we set them up. A downgrade takes effect at your next billing date.

8. Cancellation and refunds

  • You can cancel at any time in the billing portal or by email. Cancellation takes effect at the end of the month you have paid for, and we do not charge you again. Sending continues until that date.
  • If you or we cancel before any sending starts, for example because the setup call shows the service is not a good fit, we refund your first payment in full.
  • After sending starts, payments are not refundable. Service credits under section 3 still apply.
  • We may end this agreement with 30 days' notice by email, or at once if you materially break it or use the services unlawfully.

9. Data

  • You own your lists, your copy and the replies your campaigns receive. We use them only to provide the services to you.
  • For lists you supply, you are responsible for having a lawful basis to contact the people on them. We process that data on your instructions.
  • For Fully Managed GTM, we source lead data from commercial data providers.
  • We protect your data with reasonable security measures. Our Privacy Policy describes how we handle personal data.
  • When this agreement ends, we stop sending and end your inbox access. If you ask within 30 days, we send you an export of your replies and lead lists. We delete your campaign data within 60 days after the end, unless the law requires us to keep it.

10. Confidentiality

Each of us keeps the other's non-public business information confidential and uses it only for this agreement. This does not apply to information that is public, that the other side already had, or that the law requires a party to disclose.

11. Intellectual property

You keep all rights in your name, brand, copy and lists. You let us use them only to provide the services. We keep all rights in our methods, templates and tools. We name you as a customer in public only with your written permission.

12. No promise of results

We do not promise any reply, meeting, sale or revenue. Results depend on your offer, your audience, your follow-up and factors outside our control, including LinkedIn's rules and limits.

13. Disclaimer

Except as this agreement states, we provide the services as they are and make no other warranties, express or implied, to the extent the law allows.

14. Limit of liability

Neither of us is liable for indirect, incidental, special or consequential loss, or for lost profits or revenue. Our total liability under this agreement is limited to the fees you paid us in the three months before the event that caused the claim. These limits do not apply to your payment obligations, to a breach of section 5, or to section 15.

15. Indemnity

You will defend us against third-party claims that arise from your offer, your copy, the lists you supply or a breach of section 5, and you will pay the resulting costs and damages.

16. Term

This agreement starts when you accept it and continues month to month until you or we end it under section 8.

17. Law and courts

The laws of the Commonwealth of Virginia govern this agreement. The state and federal courts located in Richmond, Virginia have exclusive jurisdiction over any dispute.

18. General

  • We may update this agreement with at least 30 days' notice by email. The update applies from your next billing date after the notice period. If you do not accept it, you can cancel under section 8.
  • Neither of us is liable for delays caused by events outside reasonable control.
  • You may not transfer this agreement without our written consent.
  • Notices go by email: to us at braden@trypipeline.co, and to you at the billing email on your account.
  • If a court finds part of this agreement unenforceable, the rest stays in force.
